Ecobank Eurobond repayment reaches $245m after a tender offer that reduced outstanding notes ahead of the February 2026 maturity

Ecobank Nigeria Limited has fully repaid bondholders who validly tendered their holdings in its $300m Eurobond ahead of the February 2026 maturity, completing a $245m repayment and reducing its outstanding obligations significantly.

The disclosure was made on Tuesday in a statement issued by Ecobank Nigeria Limited.

The bank said it had prepaid more than 80 per cent of the original $300m issuance through a tender process that targeted the remaining $150m outstanding on the 7.125 per cent Senior Note due in February 2026.

Ecobank Nigeria Limited launched the tender offer on 27 November 2025, giving eligible noteholders the option to redeem their holdings before the original maturity date of 16 February 2026.

The early and late participation deadlines were 11 December 2025 and 29 December 2025, respectively, with settlement completed on 31 December 2025.

Holders whose notes were validly tendered and accepted received $1,000 per $1,000 in principal amount, alongside accrued interest calculated from the last interest payment date up to the settlement date.

Following completion of the exercise, the outstanding principal on the bond was reduced to approximately $55.092m.

Ecobank Nigeria Limited said the transaction reflected a proactive approach to liability management and prudent balance sheet optimisation, strengthening the bank’s financial position ahead of the 2026 maturity.

The tender offer was executed with Renaissance Capital Africa, through Renaissance Securities Nigeria Limited, acting as financial adviser and dealer manager, while Sodali & Co Limited served as tender agent.

The notes were originally issued by EBN Finance Company B.V. with limited recourse to the issuer and were used exclusively to finance the purchase of the $300m 7.125 per cent Senior Note issued by Ecobank Nigeria Limited.
